GENERAL TERMS OF SALES

1. APPLICATION

MAJEREL SPRL's commitments are exclusively governed by Belgian law and these general terms and conditions of sale

2, ORDER

Any purchase order signed by a customer, or any order sent by email, is irrevocably binding, whether there has been a downpayment or not. If the customer refuses to take delivery of the goods ordered, the seller will have the right, if he wishes, to force him to do so judiciary, or to request against him, as damages and interest for cancellation of sale, an amount of 50% of the agreed price, and this, as a lump sum indemnity acquired ipso jure, the parties refraining from contesting the amount.

3. DELIVERY TIME

Delivery times are indicative. Any justified or pre-announced delay will not give any right to a penalty

4. CUSTOMER'S PROPERTY

The foundry models, stored at the various suppliers of MAJEREL SPRL, are under the responsibility of these suppliers. The customer will have to insure the toolings that are it’s property SPRL MAJEREL can not be held responsible neitehr for any loss or degradation of these tooling , nor for any non-delivery related to such an event

5, TRANSPORT

The transport of the goods, even DDP deliveries, are made at the risk of the recipient

6. PRICE

Any change in the billing price resulting from a justified modification of a fundamental parameter (weight, pattern) to the order or acknowledgment can not be contested.

7, DISPUTE

Any dispute notification must be sent to SPRL MAJEREL within 8 days of delivery and no later than 15 days after the date of dispatch of the invoice. Beyond this period, the bill will be recognized as accepted by the customer, whether the delivery note was signed by him or not.

8. PAYMENT

Any late payment in relation to the due date mentioned on the invoice will result in a 15% late payment penalty, in addition to the conventional interest rates of 10% per year. 8, RESERVATION OF PROPERTY The sold goods remain the property of MAJEREL SPRL until full payment of the invoice

9. COMMITTEE PACT

In case of non-payment of invoices at their due date, SPRL MAJEREL may immediately, by right and without warning, consider the sale as resolved. At that moment, it will be entitled to take back the goods sold at the customer's premises, or at any other place where it may be, without prejudice to the compensation for the damage suffered.

10, COMPETENCE

All other general conditions are subject to the general terms and conditions of European foundries. Any dispute arising from the interpretation or execution of the contract falls under the exclusive juridiction of the Nivelles Court.
